Governance

The Fidelity^® Charitable Gift Fund (the "Gift Fund") is governed by a Board of Trustees, the majority of which are independent from Fidelity Investments. The Gift Fund's Board is comprised of a group of working and retired professionals who are responsible for overseeing all aspects of the Gift Fund's operations, including:

• Overall stewardship of the organization's charitable mission
• Responsibility for the prudent investment of the Gift Fund's assets
• Due diligence on all donations to and all grants from the Gift Fund
• Review and approval and of all contractual arrangements
• Making policies and procedures designed to ensure that the Gift Fund is in compliance with rules and regulations affecting tax-exempt charitable organizations and donor-advised funds

Each Trustee serves on one or more subcommittees, sharing their management and subject matter expertise through active involvement and accountability:

• Audit Committee members provide fiduciary oversight of audits, reviewing all financial results of the Gift Fund and ensuring compliance with both internal and external legal and regulatory requirements, including public disclosure and IRS reporting requirements deadline.
• Investment Committee members focus on ensuring that a sound and prudent investment process is in place and that performance is measured against appropriate benchmarks.
• Governance Committee members are responsible for the board nomination process, identifying potential trustees with diverse backgrounds in the areas of management and philanthropy.
• Trustees' Philanthropy Fund Committee members are responsible for developing and executing the Trustees' grantmaking program identifying organizations which meet the TPF's grantmaking criteria.
